NOORIA TERMS OF SERVICE

Version 3.7.6 - 02/02/2026

These Terms of Service (“Terms”) govern access to and use of the Nooria platform and related services (“Service”) operated by VP Innovations Holdings LLC, a Wyoming limited liability company (“Company”,”Nooria”,”we” or “us”).

By creating an account, installing the software, or using the Service, you agree to these Terms.

SERVICE DESCRIPTION

Nooria provides:

Video analytics software
Customer-installed analytics processing software
Cloud-hosted dashboards
Metadata aggregation and visualization
Reporting and configuration tools
Optional custom analytics model configuration services

Nooria does not provides:

Camera hardware
Networking infrastructure
Video hosting or storage
Surveillance monitoring services
Physical security services

The Service is an analytics and reporting platform only.

DEPLOYMENT MODEL

Customers install Nooria analytics software on their own systems or infrastructure.

Video processing occurs on customer controlled systems.

Only analytics metadata and event data are transmitted to Nooria dashboards unless separately agreed in writing.

Customers are solely responsible for:

Camera devices
Network configuration
System compatibility
Lawful camera usage

ON-PREMISES VIDEO PROCESSING

Nooria is designed so that:

Raw video remains on customer premises and is not transmitted to Nooria Cloud services by default.

Customers are responsible for configuring their systems accordingly.

Nooria does not monitor or review customer video feeds as part of standard service.

THIRD-PARTY TECHNOLOGY

Nooria software incorporates licensed third-party analytics technology.

Nooria does not claim ownership of underlying third-party analytics engines.

Customers receive a licensed, integrated solution through Nooria.

Third-party components may have separate license terms that apply.

ACCOUNT REGISTRATION

Customers must:

Provide accurate information
Maintain credential security
Restrict unauthorized access
Notify Nooria of suspected breaches

Customers are responsible for all activity under their account.

SUBCRIPTIONS & BILLING

Nooria is offered by paid subscription only:

Available plans may include:
Monthly subscriptions
Annual subscriptions
Add-on cloud storage plans

No free tier is offered unless explicitly stated.

Payment Terms

Fees billed in advance
Non-payment may result in suspension
Taxes are customer responsibility
Prices may change without notice

Annual plans may include discounts and are prepaid.

STORAGE ADD-ONS

Cloud storage plans apply to:

Analytics metadata
Reports
Dashboards
Derived datasets

Storage does not include raw video.

Customers manage retention settings where available.

ACCEPTABLE USE

Customers agree not to use the Service to:

Violate privacy or surveillance laws
Monitor areas where recording is illegal
Perform biometric identification where restricted
Conduct unlawful tracking
Violate human rights laws
Process protected locations without authorization

Customer bears full legal responsibility for camera placement and usage.

NON-MISSION-CRITICAL USE

The Service is not designed for mission-critical, safety-critical, or life-critical uses, including:

Emergency response
Aviation safety systems
Medical monitoring
Security dispatch
Hazard prevention systems

Customers must not rely on Nooria as a sole safety system.

CUSTOM MODEL SERVICES

Nooria may provide custom analytics model configuration through contractors.

Deliverables:

Are licensed to the customer
Remain based on Nooria platform
Do not transfer platform ownership

Customers may not reverse engineer or extract base analytics engines.

Customers may not upload training datasets through the platform.

CUSTOMER DATA

Customer retains ownership of:

Camera video
Source footage
On-premise data

Nooria owns:

Dashboard system
Analytics workflow
Derived service configurations
Platform improvements

Metadata processed through dashboards may be used in anonymized form to improve service quality.

PRIVACY & DATA ROLE

Customers act as Data Controllers for camera data.

Nooria acts as a Data Processor for analytics metadata processed through dashboards.

Customers are responsible for:

Consent
Signage
Legal basis for recording
Cross-border transfer legality

INTELLECTUAL PROPERTY

All Service software, dashboards, workflows, and interfaces are Company property.

Customers receive a limited, not-transferable license to use the Service during subscription.

Customers may not:

Copy platform software
Resell without authorization
Reverse engineer
Create derivative platforms

SERVICE AVAILABILITY

Nooria aims for high availability but does not guarantee uninterrupted service.

Maintenance and outages may occur.

Cloud dashboard uptime is not guaranteed unless covered by separate SLA.

WARRANTIES DISCLAIMER

Service is provided:

“AS IS” and “AS AVAILABLE.”

Nooria disclaims all warranties including:

Accuracy of analytics
Detection reliability
Fitness for particular purpose
Uninterrupted operation

Analytics results are estimated, not certified measurements.

LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Nooria shall not be liable for:

Indirect damages
Lost profits
Surveillance misuse
Regulatory penalties
Hardware failures
Camera misconfiguration
Third-party acts

Total liability shall not exceed fees paid in the prior 12 months.

INDEMNIFICATION

Customer agrees to indemnify Nooria for claims arising from:

Unlawful camera usage
Privacy violations
Surveillance misuse
Regulatory non-compliance
Improper deployment

TERMINATION

Either party may terminate subscription:

Upon termination:

Dashboard access ends
Licenses end
Unpaid fees remain due

Metadata may be deleted after retention period.

EXPORT & SANCTIONS

Service may not be used in violation of export control or sanction laws.

GOVERNING LAW

Wyoming law governs.

Disputes resolved under Wyoming jurisdiction unless mandatory law requires otherwise.

MODIFICATIONS

Terms may be updated with notice.

Continued use constitutes acceptance.
